These terms govern your use of vanderbiltcfopartners.com (the "Site"), operated by Vanderbilt CFO Partners LLC ("Vanderbilt CFO Partners," "we," "us," or "our"). By using the Site, you agree to these terms. If you do not agree, please do not use the Site.

What We Do

Vanderbilt CFO Partners provides fractional CFO and financial advisory services to businesses, primarily e-commerce brands. Our work includes financial analysis, margin and cash flow analysis, forecasting, and ongoing advisory delivered on a retainer basis, along with a paid Financial Health Assessment.

What We Do Not Do

This matters, so we state it plainly.

We are not a CPA firm and we do not provide tax advice. We do not prepare or file tax returns, and nothing we provide should be relied on as tax advice. Where we notice something in your financial statements that may have tax implications, we will tell you to bring it to your accountant or CPA. Tax questions belong with a licensed tax professional.

We are not attorneys and do not provide legal advice.

We are not licensed investment advisors and do not provide investment, securities, or personalized financial-product advice.

We are not auditors. Our analysis relies on the financial information you provide. We do not audit, review, or verify that information, and we do not express an opinion on its accuracy.

Our role is to help you understand your own numbers and make better business decisions from them. Where a question belongs with another professional, we will say so.

Information You Provide

Our analysis is only as good as the information behind it. You agree that information you provide will be accurate and complete to the best of your knowledge, and that you have the right to share it with us. If the underlying records are unreliable, our conclusions will be too, and we will tell you when we believe that is the case.

No Guarantee of Results

Nothing on this Site or in our services is a guarantee of any particular financial outcome. Any figures, examples, or scenarios are illustrative. Business results depend on many factors outside our control, including your own decisions and execution.

Site Content Is Not Advice

Content on this Site is general information about our services. It is not financial, tax, legal, or accounting advice, and it does not create a client relationship. A client relationship begins only when we both sign a written engagement agreement.

Engagements, Fees, and Cancellation

Services, fees, scope, and term are set out in the separate written engagement agreement for each client. If anything in that agreement conflicts with these terms, the engagement agreement governs.

The Financial Health Assessment (also offered as the Profit Leak Review) is a paid engagement. Scheduled appointments may be rescheduled or cancelled by either party with reasonable notice.

Confidentiality

We treat your financial information as confidential and do not disclose it except as described in our Privacy Policy, as you direct, or as required by law.

Intellectual Property

The Site and its content — text, design, graphics, and materials — are owned by Vanderbilt CFO Partners LLC and protected by intellectual property laws. You may not copy, reproduce, or redistribute them without our written permission. Deliverables prepared for a client are governed by that client's engagement agreement.

Acceptable Use

You agree not to use the Site to break any law, interfere with its operation or security, attempt unauthorized access, scrape or harvest data, or submit false information or another person's information without permission.

Third-Party Services

We use third-party platforms for scheduling, communication, and analytics. Your use of those services may also be governed by their own terms.

Limitation of Liability

To the fullest extent permitted by law, Vanderbilt CFO Partners LLC is not liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Site or our services. Our total liability for any claim will not exceed the amount you paid us for the services giving rise to the claim in the twelve months before it arose.

The Site is provided "as is" without warranties of any kind, express or implied.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Indemnification

You agree to indemnify and hold harmless Vanderbilt CFO Partners LLC and its members, officers, and contractors from claims arising out of your misuse of the Site, your violation of these terms, or your violation of the rights of another.

Governing Law

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Harris County, Texas, and you consent to that jurisdiction.

Changes to These Terms

We may update these terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the Site after changes are posted means you accept them.
